Binding terms and conditions of sale
Binding terms and conditions below (" Terms and Conditions ") apply to the sales of any products (“Products”) from HONG KONG ONEYAC TECHNOLOGY CO., LIMITED to customers in the People’s Republic of China (from now on referred to as China, only for this terms and conditions, not including Hong Kong special administrative region, Macao special administrative region or Taiwan.) For this article, “Manufacturer “means any manufacturer, producer, or supplier of HONG KONG ONEYAC TECHNOLOGY CO., LIMITED’s products.
1. Order acceptance and cancellation; Special orders
All product orders shall be accepted in writing by HONG KONG ONEYAC TECHNOLOGY CO., LIMITED or a duly authorized agent of HONG KONG ONEYAC TECHNOLOGY CO., LIMITED. Written confirmation of receipt of an order does not in itself constitute acceptance of the order. Customers may only cancel orders accepted by HONG KONG ONEYAC TECHNOLOGY CO., LIMITED With Oneyac's written consent. If an order is canceled for any reason, the customer shall pay Oneyac a reasonable pick-up or replenishment fee (covering all expenses incurred and commitments made by Oneyac) and this shall not limit any other benefits to which Oneyac may be entitled as a result of such cancellation. The customer's application for rescheduling product delivery shall be accepted by HONG KONG ONEYAC TECHNOLOGY CO., LIMITED (and at HONG KONG ONEYAC TECHNOLOGY CO., LIMITED 's sole discretion). HONG KONG ONEYAC TECHNOLOGY CO., LIMITED will not agree to cancel or reschedule product delivery after an order has been submitted to the shipping carrier by HONG KONG ONEYAC TECHNOLOGY CO., LIMITED. HONG KONG ONEYAC TECHNOLOGY CO., LIMITED reserves the right, in its sole discretion, to distribute the sales of selected products among its customers and their quantities. Product specifications and product offerings are subject to change without prior notice.
Some product orders may involve part numbers and quantities that HONG KONG ONEYAC TECHNOLOGY CO., LIMITED does not have in its ordinary inventory and must therefore be specially ordered from the manufacturer on behalf of the customer (" Special Orders "). Special Orders do not constitute acceptance and shall not constitute a final order unless a specific "Special Order Agreement" has been entered into between Customer and Oneyac. (which includes by reference the contents of these Terms and Conditions regarding such special Order).
2. Price
Orders are invoiced at prices in effect at the time of shipment. Prices will be those determined by HONG KONG ONEYAC TECHNOLOGY CO., LIMITED and will apply for the period specified in Oneyac's quotation or as specified on Oneyac's website (if applicable). If no period is specified, the offer price will remain valid for 1 week. HONG KONG ONEYAC TECHNOLOGY CO., LIMITED Catalog reflects the latest pricing information available at the time of catalog printing. The prices shown in the catalog are subject to change without notice. All shipping costs are included in the product price. Prices will increase if Oneyac's costs increase or other circumstances occur beyond Oneyac’s reasonable control. If the customer does not purchase the quantity corresponding to the lot price, the customer will pay the pre-discount price for the quantity that was purchased and/or a pickup or replenishment fee determined by HONG KONG ONEYAC TECHNOLOGY CO., LIMITED.
3. Payment terms
The customer agrees to pay the full amount of each invoice issued by HONG KONG ONEYAC TECHNOLOGY CO., LIMITED following the terms of each invoice without any set-off or deduction.All payments must be made in USD currency.
All orders shall be approved by the HONG KONG ONEYAC TECHNOLOGY CO., LIMITED with credit. HONG KONG ONEYAC TECHNOLOGY CO., LIMITED can decide at any time to change the customer credit terms, Moreover, according to the customer orders, HONG KONG ONEYAC TECHNOLOGY CO., LIMITED can ask customers to pay by cash, bank wire transfer/electronic funds transfer before shipment of any or all products and asked for payment of any or all mature or is about to expire.If Oneyac has sufficient evidence that the customer's ability to make payment is in doubt, or if the customer does not pay any invoices due, HONG KONG ONEYAC TECHNOLOGY CO., LIMITED Can suspend delivery of any ordered products or any remaining products of any order until such payment is made, HONG KONG ONEYAC TECHNOLOGY CO., LIMITED Can cancel any order or any remaining products therein. If HONG KONG ONEYAC TECHNOLOGY CO., LIMITED shall suspend delivery accordingly, it shall promptly notify the Customer and HONG KONG ONEYAC TECHNOLOGY CO., LIMITED shall resume delivery if the Customer provides sufficient guarantee for the order (the sufficiency of such guarantee shall be determined by HONG KONG ONEYAC TECHNOLOGY CO., LIMITED in its sole discretion).The customer will remain responsible for payment for any shipped products. Unpaid invoices due will bear interest until the date of payment at the rate of 18% per annum or the highest rate permitted by applicable laws and regulations, choosing the lower one between these two rates as the standard.If the customer fails to pay the amount due, HONG KONG ONEYAC TECHNOLOGY CO., LIMITED can seek any legal assistance or any remedy, in which case HONG KONG ONEYAC TECHNOLOGY CO., LIMITED will be entitled to compensation for the costs and reasonable attorney's fees incurred in connection with the collection.
3.1 Prepaid telegraphic transfer or electronic funds transfer
Customers may prepay by telegraphic transfer or other electronic funds transfer to Oneyac's bank account as directed by HONG KONG ONEYAC TECHNOLOGY CO., LIMITED. HONG KONG ONEYAC TECHNOLOGY CO., LIMITED will hold an inventory of products for customers' prepaid orders for 5 days, pending confirmation of receipt of funds.If no funds are received, the customer's advance order will be canceled 5 working days later.All bank charges arising from wire transfers or efT payments will be borne by the customer.
4. Tax
VAT and related taxes or other charges are applicable to all orders entered into with HONG KONG ONEYAC TECHNOLOGY CO., LIMITED, and such taxes are entirely the customer's responsibility.
5. Delivery and ownership
On all orders, Oneyac is not responsible for shipping, insurance, and any other costs.If the place of delivery is HK and the order amount is more than 2000 USD, the customer can have free delivery service after negotiation with Oneyac (the service does not include warehousing fees, registration fees, and other incidental fees).
6. Return the product
6.1 Return of products under limited warranty
If laws or regulations do not provide for a specific period for a specific product, the customer must notify HONG KONG ONEYAC TECHNOLOGY CO., LIMITED within 30 days after the date of shipment of the product to indicate its understanding of the limited warranty described in Clause 7.If HONG KONG ONEYAC TECHNOLOGY CO., LIMITED agrees to accept returns under the applicable Manufacturer's warranty covering the customer's products, the customer must prepay all shipping costs and operating costs.To initiate the return of products under Clause 6.1, the customer must contact the relevant HONG KONG ONEYAC TECHNOLOGY CO., LIMITED. Sales representative for a "Material Return Authorization Number" and instructions.Any product returned accordingly must be in its original packaging (original packaging provided to the manufacturer or HONG KONG ONEYAC TECHNOLOGY CO., LIMITED, Inc.) and unused.Electrostatic-sensitive products should be unopened (except under controlled conditions).In particular, cut reel products and samples are designated products requested by customers, which are ordered products and shall not be returned.
6.2 Circumstances in which the return of the product will be rejected
1.The products are not sold and shipped by HONG KONG ONEYAC TECHNOLOGY CO., LIMITED;
2.The product has been used by customers, except for inherent defects;
3.The product is not defective, that is, damaged, short, poor quality, or inconsistent with specifications, etc.
6.3 Prevention of counterfeit products
If HONG KONG ONEYAC TECHNOLOGY CO., LIMITED receives any products not sold or shipped by Oneyac, HONG KONG ONEYAC TECHNOLOGY CO., LIMITED will immediately inspect, dispose, and destroy them.For products returned to Oneyac by the customer, the customer certifies that the returned products were purchased from Oneyac and have not been replaced, in whole or in part, with identical or similar products from other manufacturers, producers, suppliers, distributors, or other sources of the same or similar products.
6.4 The customer shall communicate the refund amount with Oneyac, which shall be determined by mutual consultation.
7. Oneyac's limited warranty
To the extent that the relevant product warranties obtained by HONG KONG ONEYAC TECHNOLOGY CO., LIMITED from the Manufacturer are transferable, HONG KONG ONEYAC TECHNOLOGY CO., LIMITED could transfer any such warranties to the Customer. (whether written, oral, express or implied, and whether arising in fact or as a result of the operation of laws, regulations or otherwise).
8.Oneyac complies with the Directive on the Restriction of the Use of Certain Hazardous Substances in Electrical and Electronic Equipment and the lead free policy
It is Oneyac's policy that all "international environmental regulations” applicable to HONG KONG ONEYAC TECHNOLOGY CO., LIMITED for the sale of products for use in China or any other country other than China be complied with this international environmental regulation includes, but is not limited to, any laws, regulations or directives governing hazardous substances in electronic equipment and/or the disposal or recovery of such equipment. No representation, warranty, undertaking or warranty is made by Oneyac To the Customer as to whether the use of its products complies with any international environmental requirements, And customer shall independently determine whether the use of HONG KONG ONEYAC TECHNOLOGY CO., LIMITED's products complies with Customer's obligations under any such international environmental regulations.
9. Limitation of liability; Customers for compensation
If there be any other provision to the contrary in these Terms and Conditions, to the extent permitted by applicable law, HONG KONG ONEYAC TECHNOLOGY CO., LIMITED (or any subsidiary, affiliate Oneyac company, shareholders, directors, managers, senior staff or employees) are not responsible for the following situations: Under any circumstances for any other party for sales or purchase, our terms and conditions, on the terms and conditions for the implementation of the violation and/or the products arising from the use of, or in any way with this And shall not be liable for any indirect, special, incidental, incidental, punitive or exemplary damages or damages for loss of value, loss of profit or loss of business opportunity of any nature whatsoever, including, but not limited to, damages resulting from loss of profit or revenue, cost of recovery, claims for interruption or non-provision of service, cost of testing, installation or removal, cost of replacement products, or legal fees. If the fault is attributable to customer's act or negligence, customer shall indemnify, defend and hold Oneyac harmless from and against any claim made by any person against Oneyac against products sold by Oneyac and used in customer's products.
10. Product safety notices and restrictions
The product is intended for commercial use only. HONG KONG ONEYAC TECHNOLOGY CO., LIMITED provides product batch tracking information upon customer request and availability from the manufacturer. HONG KONG ONEYAC TECHNOLOGY CO., LIMITED does not determine the specifications of any of the products it sells or examine any performance or safety tests on the products. The specification sheet provided to the customer is produced by or extracted from information provided by the manufacturer. Any reference to military specifications in ONEYAC's directory or web page is for reference only and does not modify these terms and conditions. HONG KONG ONEYAC TECHNOLOGY CO., LIMITED is not involved in any product safety engineering, product safety review, or product safety testing. HONG KONG ONEYAC TECHNOLOGY CO., LIMITED cannot provide any safety testing, safety evaluation, or safety engineering services. HONG KONG ONEYAC TECHNOLOGY CO., LIMITED sales of the product are not intended for or authorized for life support, maintenance, implantable applications, and other medical equipment (international (IMDRF) fourth class), the bottom of the sea with equipment, military equipment and weapons, nuclear energy and nuclear facilities with control equipment, the application of aviation equipment and flight control system, etc, And other applications that result in the sale of products with problems that result in death, injury or significant property damage (" unauthorized use "). If The Product is used or sold by the customer for any such unauthorized use, (1) Customer acknowledges that such use or sale is at customer's own risk;(2) Customer agrees that HONG KONG ONEYAC TECHNOLOGY CO., LIMITED and the Product Manufacturer shall not be liable in whole or in part for any claim or damage arising out of such use; And (3) All claims, damages, losses, costs, expenses and liabilities arising out of or in connection with such use or sale, customer agrees to indemnify, defend and hold harmless HONG KONG ONEYAC TECHNOLOGY CO., LIMITED and the Product Manufacturer.
11. Statements and opinions
If a statement or advice (technical or otherwise) is given or made to the customer, such statement or advice will be deemed to be advice made to the customer without charge. HONG KONG ONEYAC TECHNOLOGY CO., LIMITED is not responsible for the content or use of such statements or opinions. HONG KONG ONEYAC TECHNOLOGY CO., LIMITED will provide level 1 technical support to customers in China to a very limited extent. HONG KONG ONEYAC TECHNOLOGY CO., LIMITED is not (directly or indirectly) involved in the design of any customer product. HONG KONG ONEYAC TECHNOLOGY CO., LIMITED does not conduct product suitability studies or engineering reviews on products it sells publicly or for use by customers, including but not limited to products used in any finished product manufactured by customers.
12. Intellectual property
If the order contains software or other intellectual property rights, such software or other intellectual property rights are provided to customer by HONG KONG ONEYAC TECHNOLOGY CO., LIMITED subject to the terms and conditions of the relevant copyright and user license set forth in the license agreement attached to such software or other intellectual property rights. Nothing herein shall be construed as granting any right or license to use any software or other intellectual property in any respect or to use any software or other intellectual property for any other purpose not expressly permitted by such license.
13. Force Majeure
The reasons that beyond HONG KONG ONEYAC TECHNOLOGY CO., LIMITED’s reasonable control (including but not limited to, product distribution, shortages, labor disputes, transportation delays, unpredictable environment, natural disaster, act or omission of the other parties, civil or military authority act or omission, government priorities, fire, strike, flood, extreme weather conditions, computer interrupt, terrorism , epidemic diseases, quarantine restrictions, riots or war). For the delay in delivery or failure to fulfill obligations due to the reasons that mentioned above, HONG KONG ONEYAC TECHNOLOGY CO., LIMITED Co., LTD shall not be liable for these situations) The time for HONG KONG ONEYAC TECHNOLOGY CO., LIMITED Ltd. to make delivery or perform the contract will be extended for a period equal to the period of such delay, or HONG KONG ONEYAC TECHNOLOGY CO., LIMITED may in its sole discretion,cancel any order or the remainder of the order by noticing to customer. In the event of such force majeure event, HONG KONG ONEYAC TECHNOLOGY CO., LIMITED shall promptly notify the customer and thereafter provide proof of the occurrence of such force majeure event within a reasonable period of time.
14. Import and export restrictions
You understand and acknowledge that certain products supplied by Oneyac ("products" include electronic components, modules, technology, and technical data, etc.) may be subject to applicable export control and economic sanctions laws and regulations of relevant countries or regions, such as China, the United States, and the European Union. Without obtaining the corresponding licenses and written consent from Oneyac, the products cannot be transferred to specific users, specific countries/regions, or used for specific purposes. Therefore, you represent and warrant that:
(1).You undertake that our company and the end-users will NOT directly or indirectly use the products supplied by you for the following purposes:
a).Develop or manufacture "advanced node integrated circuit "[1] in China;
b).Develop or manufacture non-"advanced node integrated circuit" in China where the same facility is also used for developing and producing "advanced node integrated circuit";
c).Develop or manufacture any "components", "assemblies" or "equipment" described in ECCNs 3B001 (except 3B001.g and 3B001.h), 3B002, 3B611, 3B903, 3B991 (except 3B991.b.2.a and 3B991.b.2.b), 3B992, 3B993, and 3B994 as included in the Commerce Control List (CCL) under the EAR, or software/technology specified in Category 3D or 3E that are related to the aforementioned items in China.
(2).You undertake that our company and the end-users will NOT directly or indirectly use the products supplied by you for any of the following end-uses:
a).Design, "development"[2], "production"[3], operation, installation (including on-site installation), maintenance (checking), repair, overhaul, or refurbishing of a “supercomputer” located in or destined to China;
b).The incorporation into, or the “development”or“production” of any “component” or “equipment” that will be used in a “supercomputer” [“Supercomputer” means a computing “system” having a collective maximum theoretical compute capacity of 100 or more double-precision (64-bit) petaflops or 200 or more single-precision (32-bit) petaflops within a 41,600 ft3 or smaller envelope.]located in or destined to China.
(3).You undertake that you company and the end-users will NOT directly or indirectly use the products supplied by Oneyac for any "military end use"[4] and "military intelligence end use"[5]; you company and the end-users will NOT directly or indirectly sell or ship the products supplied by Oneyac to, or use them for products ultimately destined for, Cuba, Iran, North Korea, Syria, Russia, Belarus, Crimea, the Luhansk region, the Donetsk region, or other embargoed or broadly restricted countries/regions.
(4).You undertake and warrant that you company and the end-users will NOT directly or indirectly use the products supplied by us for any activities that violate export control regulations, including but not limited to the design, "development," "production" of weapons of mass destruction, nuclear explosive activities, biochemical weapons, rocket systems (including ballistic missiles, space launch vehicles, and sounding rockets), and unmanned aerial vehicles (including cruise missiles, target drones, and reconnaissance drones).
(5).You undertake and warrant that you company and the end-users will comply with applicable export control and economic sanctions laws and regulations of various countries. You declare that you company and the end-users are NOT listed on any restricted lists under applicable export control and economic sanctions, including but not limited to:
a) The Entity List maintained by the U.S. Department of Commerce;
b) The Unverified List maintained by the U.S. Department of Commerce;
c) The Denied Persons List maintained by the U.S. Department of Commerce;
d) "Military end user"[6] or "Military intelligence end user"[7] as defined by U.S. export control laws, or persons listed on the Military End-User List or Military Intelligence End-User List;
e) The Specially Designated Nationals and Blocked Persons List (SDN List) maintained by the Office of Foreign Assets Control ("OFAC") of the US Department of the Treasury;
f) The Financial Sanctions List of the European Union;
g) Applicable Chinese Sanctions Lists (including the Anti-Sanctions List, Unreliable Entity List, Chinese Export Control List);
h) The Economic Sanctions List of the UN;
i) Entities whose shares are held, directly or indirectly, individually or in the aggregate, 50% or more by persons listed on the SDN List, the Entity List, or the Military End-User List under U.S. export controls;
j) Entities owned or controlled by persons listed on the EU Sanctions List.
(6).You undertake and warrant that you will NOT sell or transfer your products in any way to any individual, entity, organization, or unit listed on the restricted lists mentioned in Article 5, unless prior approval from the competent government authority is obtained.
(7).You undertake and warrant that you transactions with us do NOT involve any entities with Footnote 1, Footnote 3, or Footnote 4[8] designations on the Entity List, or any entities whose shares are owned, directly or indirectly, individually or in the aggregate, 50% or more by these entities, whether as buyer, intermediate consignee, ultimate consignee, end-user, or other party to the transaction.
(8).You acknowledge that Oneyac's ability to perform and provide the products and/or services stipulated in the Agreement is contingent upon Oneyac's ability to comply with all applicable export control regulations. You undertake to take actions based on export compliance risk assessments to ensure that any transactions conducted with Oneyac are in compliance with applicable export control and economic sanctions laws and regulations.
(9).You further agree that if applicable export control regulations change, or if there is any change in your ability to receive and/or use products, services, items, materials, technical data, etc. (collectively referred to as "controlled items") under such regulations, which results in Oneyac being unable to perform the terms of the Agreement, Oneyac shall have the right to terminate the Agreement.
(10).You guarantee that the information contained in this Letter constitutes legally binding representations and warranties enforceable against you. Arrange payment if you agree to our terms.Once the customer pays for the order, they are deemed to have agreed to our terms.You guarantee that you will immediately notify us of any changes or anticipated changes in facts or circumstances that would render the above representations and warranties untrue or invalid, or when you have any reason or cause to reasonably anticipate that such a situation will occur. If the above representations and warranties are or become untrue, incomplete, or invalid, we have the right to unilaterally and immediately terminate any contract with you at any time. You agree to bear all economic losses caused to you as a result thereof.
(11).You guarantee to defend and indemnify Oneyac against the consequences of your failure to comply with this Letter. You guarantee to bear the losses and expenses incurred by Oneyac due to your violation of this Letter or other export control and economic sanctions laws and regulations, including but not limited to attorney fees, costs, and any fines, damages, or penalties. Furthermore, you understand that if Oneyac becomes aware or has reasonable grounds to believe that you have violated this Letter or other export control and economic sanctions laws and regulations, Oneyac reserves the right to suspend or terminate the performance of the Agreement at any time.
(12).You hereby confirm that the individual responsible for the procurement and payment of the order specified in this letter is fully authorized to act on behalf of your company.
*Definitions: Interpretation and supplement to this Agreement
14.8.1.Advanced process chips:
a)Logic integrated circuits using a non-planar architecture or with a production technology node of 16/14 nanometers or less;
b)NAND memory integrated circuits with 128 layers or more;
c)DRAM chips using a production technology node of 18 nanometers or less.
14.8.2."Development": All stages before mass production, including design, design research, design analysis, design concepts, assembly and testing of prototypes, trial production plans, design data, the process of transforming design data into products, configuration design, integration design, and layouts.
14.8.3."Production": All stages of production, including product engineering, manufacturing, integration, assembly (installation), inspection, testing, and quality assurance.
14.8.4."Supercomputer": A computing system within a volume of 41,600 cubic feet or smaller, with a collective maximum theoretical computing capacity of 100 or more double-precision (64-bit) petaflops or 200 or more single-precision (32-bit) petaflops.
14.8.5."Military end use" includes direct or indirect use for the use, development, production of military items, as well as supporting or assisting the operation, installation, maintenance, repair, overhaul, refurbishment, development, or production of any military items. "Military items" refer to items described in the U.S. Munitions List, items with ECCN codes ending in "A018," or items with ECCN codes in the "600 series."
14.8.6. "Military intelligence end use" refers to actions or functions designed to support "military intelligence end users," including the design, development, production, use, operation, installation, maintenance, repair, overhaul, refurbishment, or incorporation into military items described in the U.S. Munitions List or items with ECCN codes ending in "A018" or in the "600 series."
14.8.7."Military end users" refer to national armed forces (including the Army, Navy, Marine Corps, Air Force, or Coast Guard), as well as the National Guard and national police, government intelligence or reconnaissance organizations, and any individuals or entities whose actions or functions are intended to support "military end uses."
14.8.8."D:5 group countries/regions" include Afghanistan, Belarus, Myanmar, Cambodia, Central African Republic, China (including Hong Kong), Democratic Republic of the Congo, Cuba, Eritrea, Haiti, Iran, Iraq, North Korea, Lebanon, Libya, Russia, Somalia, South Sudan, Sudan, Syria, Venezuela, and Zimbabwe.
14.9 HONG KONG ONEYAC TECHNOLOGY CO., LIMITED is committed to complying with all US export laws and regulations. Oneyac Electronics will not sell or ship products to countries that are prohibited by the U.S. Treasury Department's Office of Foreign Assets Control ("OFAC"). Oneyac Electronics will not sell or ship products to individuals or institutions designated by the U.S. Treasury as "specially designated and prohibited individuals." HONG KONG ONEYAC TECHNOLOGY CO., LIMITED will not sell or ship products prohibited under the Export Administration Regulations to individuals or institutions designated by the BUREAU of Industry and Security ("BIS") of the U.S. Department of Commerce.HONG KONG ONEYAC TECHNOLOGY CO., LIMITED participates in bureau of Industry and Security export enforcement and OFFICE of Foreign Assets Control transaction reports. In addition, HONG KONG ONEYAC TECHNOLOGY CO., LIMITED is prohibited from exporting, re-exporting, distributing or transshipping its products to any person, institution or country prohibited by the OFFICE of Foreign Assets Control or the Bureau of Industry and Security of the U.S. Treasury Department.
14.10 The sale, resale or other disposal of the products and any related technology or documentation are also subject to applicable PRC import and/or export administration laws and regulations subject to these terms and conditions. Customer further confirms that it shall not, directly or indirectly, export any product to any country subject to export or transportation restrictions or prohibitions. Customer acknowledges its responsibility to obtain any export, re-export or import permits required. Customer agrees to comply with all such laws and regulations and the provisions of this Article, including but not limited to the prohibition of export, re-export, distribution and transhipment described herein.If any product order cannot be fulfilled in accordance with all applicable export laws and regulations, HONG KONG ONEYAC TECHNOLOGY CO., LIMITED reserves the right to cancel such order without reason.
14.11 Disclaimer of export Classification
Customer's use of The Oneyac Electronic Classification for export classification (whether any adjustment of the Export Control classification number or the UNIFORM tariff code) shall have no recourse to HONG KONG ONEYAC TECHNOLOGY CO., LIMITED Limited and shall be at customer's own risk. Export classification may be changed. If the customer exports or re-exports, the customer as the registered exporter is responsible for determining the correct classification of any item at the time of export. Any export classification of Oneyac is for internal use only by HONG KONG ONEYAC TECHNOLOGY CO., LIMITED Limited and shall not be construed as a representation or warranty as to the appropriate export classification and shall not be relied upon for licensing decisions.
15. General provisions
These terms and conditions may not be modified or canceled without the written consent of HONG KONG ONEYAC TECHNOLOGY CO., LIMITED.Accordingly,HONG KONG ONEYAC TECHNOLOGY CO., LIMITED sells the products and provides the services solely under these Terms and Conditions.To the extent permitted by applicable law, the sale of products under these Terms and Conditions shall be governed by these Terms and Conditions, Notwithstanding any contrary or other terms and conditions in any Customer order, purchase order, schedule, approval letter, invoice, confirmation or any other form or document made or provided by customer (" Customer Document ") that affect or are intended to affect the purchase and/or sale of the products. Regardless of any terms and conditions set by the customer in its order, customer and HONG KONG ONEYAC TECHNOLOGY CO., LIMITED shall be governed by the payment terms and "Commercial Credit Application" set forth on HONG KONG ONEYAC TECHNOLOGY CO., LIMITED's website.Any conflicting representations or terms contained in the customer documents (whether filed before or after) are repudiated upon submission of the credit application and issuance of the Credit by HONG KONG ONEYAC TECHNOLOGY CO., LIMITED, and all different or additional terms and conditions contained in any of the customer documents are hereby repudiated by HONG KONG ONEYAC TECHNOLOGY CO., LIMITED. HONG KONG ONEYAC TECHNOLOGY CO.,LIMITED's obligation to perform any product order or contract is subject to customer's agreement to these terms and conditions, unless otherwise specifically agreed in writing by HONG KONG ONEYAC TECHNOLOGY CO., LIMITED.The commencement of performance and/or delivery without the customer's consent is solely for the convenience of the customer and shall not be deemed or construed as acceptance of the customer's terms or conditions or any part thereof. In the absence of an earlier mutual written contract, the customer's acceptance of any products or services shall be deemed to be the customer's acceptance of these terms and conditions.No rights, duties, agreements, or obligations under these terms and conditions may be assigned or transferred by law enforcement, consolidation, or otherwise without the prior written consent of HONG KONG ONEYAC TECHNOLOGY CO., LIMITED.These Terms and Conditions shall be binding on the parties to these Terms and Conditions and their respective successors and assigns.No waiver or breach of these Terms and Conditions or any of them shall be deemed to constitute a waiver of any other content of these Terms and Conditions or a waiver of any subsequent breach of any kind or nature. If any provision, provision or limitation of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, invalid or unenforceable, the remaining provisions, provisions and limitations of this Agreement shall remain in full force and effect and shall not be affected, impaired or void in any way. Each party to this Agreement shall use its commercially reasonable efforts to find and adopt alternative methods to achieve the same or substantially the same results as contemplated by this provision, provision or restriction. These terms and Conditions shall be governed by and construed following the laws of the People's Republic of China.

[1] “Advanced process chips” refer to:(1) Logic integrated circuits using a non-planar architecture or with a “production” technology node of 16/14 nanometers or less；(2) NAND memory integrated circuits with 128 layers or more; or (3) Dynamic random-access memory (DRAM) integrated circuits using a “production” technology node of 18 nanometer half-pitch or less.
[2] “Development” is related to all stages prior to serial production, such as: design, design research, design analyses, design concepts, assembly and testing of prototypes, pilot production schemes, design data, process of transforming design data into a product, configuration design, integration design, layouts.
[3] “Production” means all production stages, such as: product engineering, manufacture, integration, assembly (mounting), inspection, testing, quality assurance.
[4] “Military end use” means: Incorporation into a military item described on the U.S. Munitions List (USML); incorporation into items classified under Export Control Classification Numbers (ECCNs) ending in “A018” or under “600 series” ECCNs; or any item that supports or contributes to the operation, installation, maintenance, repair, overhaul, refurbishing, development, or production, of military items described on the USML, or items classified under ECCNs ending in “A018” or under “600 series” ECCNs.
[5] “Military-intelligence end use” means: the development, production, operation, installation (including on-site installation), maintenance (checking), repair, overhaul, or refurbishing of, or incorporation into, items described on the USML, or classified under ECCNs ending in “A018” or under “600 series” ECCNs, which are intended to support the actions or functions of a “military-intelligence end user”.
[6] “Military end user” means the national armed services (army, navy, marine, air force, or coast guard), as well as the national guard and national police, government intelligence or reconnaissance organizations (excluding those described in § 744.22(f)(2)), or any person or entity whose actions or functions are intended to support “military end uses”.
[7] “Military-intelligence end user” means any intelligence or reconnaissance organization of the armed services (army, navy, marine, air force, or coast guard), or national guard.
